AGREEMENT TO TERMS
These Legal Terms constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and ReadyLockers, Inc., concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms.

A2P Messaging Compliance: Ready Lockers' messaging services, including SMS notifications and email alerts, are operated in compliance with applicable industry standards and regulations, such as the Telephone Consumer Protection Act (TCPA) and Cellular Telecommunications Industry Association (CTIA) guidelines. By opting into our notification services, users consent to receive automated messages related to package deliveries and system status updates.
2. USER CATEGORIES AND DEFINITIONS
Our Services are utilized by different types of users, each with distinct rights and responsibilities:
2.1 Property Owners/Managers
Entities or individuals who contract with Ready Lockers to install and operate smart locker systems on their properties. Property Owners/Managers are responsible for:
- Providing suitable installation locations with necessary electrical and network infrastructure
- Ensuring compliance with local regulations and building codes
- Communicating with residents/tenants about locker availability and usage
- Maintaining access to installation areas for service and maintenance
2.2 End-Users
Residents, tenants, employees, or authorized individuals who use the locker system to send or receive packages. End-Users are responsible for:
- Following proper locker usage procedures
- Retrieving packages in a timely manner
- Reporting any system issues or suspicious activity
- Not sharing access credentials
2.3 Delivery Personnel
Courier services, postal workers, and other delivery personnel authorized to deposit packages into the locker system. Delivery Personnel must:
- Follow proper package deposit procedures
- Verify recipient information before depositing packages
- Report any system malfunctions immediately
2.4 Licensing Partners
Independent operators authorized to install and manage Ready Lockers systems under a licensing agreement. Partners must maintain service quality standards and comply with all Ready Lockers policies.
3. INTELLECTUAL PROPERTY RIGHTS
3.1 Our Intellectual Property
We are the owner or licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, locker management systems, and proprietary technology (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").
The Ready Lockers name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of ReadyLockers, Inc. or its affiliates or licensors. You must not use such Marks without our prior written permission.
3.2 Your Use of Our Services
Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to:

4. USER REPRESENTATIONS
By using the Services, you represent and warrant that:

- You are not under the age of 13
- You are not a minor without parental permission
- You will not access the Services through automated or non-human means
- You will not use the Services for any illegal or unauthorized purpose
- Your use will not violate any applicable law or regulation

- You will not use the locker system to store prohibited, illegal, hazardous, or dangerous materials
5. LOCKER SYSTEM USAGE
5.1 Access and Authentication
- End-Users will receive unique access credentials (PIN codes, mobile app access, or RFID cards)
- Access credentials are non-transferable and must not be shared
- Lost or compromised credentials must be reported immediately
- We reserve the right to revoke access for security reasons or Terms violations
5.2 Proper Use Requirements
Users must:
- Only use assigned lockers or compartments
- Close lockers properly after each use
- Report malfunctions immediately
- Not attempt to override security features
- Not tamper with locker mechanisms or electronic components
- Retrieve packages within the designated timeframe (typically 3-7 days)
5.3 Time Limits and Overstay Fees
- Packages must be retrieved within the timeframe specified by the Property Manager
- Extended storage beyond the designated period may result in additional fees
- Packages not retrieved after maximum storage time may be removed and returned to sender or stored at a separate location at the user's expense
5.4 Prohibited Items
The following items are strictly prohibited from being stored in our locker systems:
- Illegal substances or contraband
- Hazardous materials, flammables, or explosives
- Perishable food items (unless in temperature-controlled lockers)
- Live animals
- Firearms, weapons, or ammunition (unless specifically authorized)
- Items that emit strong odors
- Oversized items that don't fit properly in assigned compartments
6. PACKAGE HANDLING AND LIABILITY
6.1 Limited Liability for Packages
IMPORTANT: Ready Lockers provides secure storage infrastructure only. We are not responsible for:
- The contents of packages
- Package damage occurring before deposit into lockers
- Theft or damage occurring due to user negligence (failure to secure locker, sharing access codes, etc.)
- Delays in delivery by courier services
- Incorrect package delivery by courier services
- Lost or missing packages not deposited into our system
- Perishable items that spoil during storage
6.2 Package Verification
- End-Users should verify package contents upon retrieval
- Any damage or discrepancies should be reported to the shipping carrier
- Claims for missing or damaged contents should be filed with the original shipper
6.3 Unclaimed Packages
- Unclaimed packages will be handled according to Property Manager policies
- We reserve the right to remove and store unclaimed packages elsewhere
- Fees may apply for extended storage or special handling
- After maximum storage period, packages may be returned to sender
6.4 Insurance Recommendations
Users are strongly encouraged to:
- Purchase shipping insurance for valuable items
- Track shipments and monitor delivery status
- Retrieve packages promptly upon notification
7. EQUIPMENT AND INSTALLATION
7.1 Property Owner/Manager Obligations
Property Owners/Managers contracting for locker installation must:
- Provide adequate space meeting specified dimensions
- Ensure electrical power availability (standard 120V outlets)
- Provide network connectivity (Ethernet or Wi-Fi)
- Obtain necessary building permits and approvals
- Ensure installation areas are accessible for maintenance
- Comply with ADA requirements for accessible locker placement
7.2 Installation Process
- Professional installation will be provided by Ready Lockers or authorized partners
- Installation timeline will be determined during initial consultation
- Property access must be provided during business hours or as arranged
- Delays due to property-related issues may result in additional fees
7.3 Equipment Ownership and Maintenance
- All locker equipment remains the property of Ready Lockers unless otherwise specified in purchase agreements
- Regular maintenance will be performed to ensure system reliability
- Property Owners/Managers must report malfunctions within 24 hours
- Unauthorized modifications or repairs void all warranties
7.4 System Requirements
Our smart locker systems require:
- Continuous electrical power
- Stable internet connectivity
- Minimum clearance space for door operation
- Adequate ventilation in enclosed areas
- Temperature-controlled environment (40°F - 90°F)
8. PURCHASES AND PAYMENT
8.1 Payment Methods
We accept the following forms of payment:

8.2 Payment Terms

8.3 Pricing and Changes
- We may change prices at any time with 30 days' notice to existing customers
- All payments shall be in US dollars
- Sales tax will be added where applicable
- You authorize us to charge your chosen payment method for recurring fees
8.4 Late Payments
- Late payments may result in service suspension
- A late fee of 1.5% per month (or maximum allowed by law) may be applied
- Accounts 60 days past due may result in collection actions
9. SUBSCRIPTIONS
9.1 Subscription Services
Property Owners/Managers may subscribe to:

9.2 Billing and Renewal
- Subscriptions continue and automatically renew unless canceled

9.3 Cancellation
- Property Managers may cancel subscriptions with 30 days' written notice
- Cancellation takes effect at the end of the current paid term
- No partial refunds for mid-term cancellations

10. REFUND POLICY

- Equipment deposits may be refundable subject to equipment condition

10.2 Exceptions
Refunds may be considered for:

- Resell locker access without authorization

11.7 Fraud and Deception

12. USER GENERATED CONTRIBUTIONS

You represent that your Contributions:

YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL.
Arbitration terms:

SPECIFICALLY FOR LOCKER SERVICES:
- We do not guarantee locker availability at all times
- We do not warrant that lockers will be free from malfunctions
- We do not guarantee package safety from all risks
- We are not responsible for items stored in violation of these Terms
- We do not control delivery carrier performance
WE ASSUME NO LIABILITY FOR:
- Errors, mistakes, or inaccuracies of content
- Personal injury or property damage from Service use
- Unauthorized access to secure servers
- Interruption or cessation of transmission
- Bugs, viruses, or malicious code
- Loss or damage from Service use
- Third-party product or service failures
23. LIMITATIONS OF LIABILITY
IN NO EVENT WILL READY LOCKERS, ITS DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR:
- Direct, indirect, consequential, exemplary, incidental, special, or punitive damages
- Lost profits, lost revenue, or loss of data
- Business interruption
- Loss of goodwill
- Package loss, theft, or damage (except as caused by our gross negligence)
- Injuries resulting from locker malfunction
- Costs of substitute services
MAXIMUM LIABILITY:
Our total liability for any cause whatsoever will not exceed the LESSER of:
- The amount paid by you to us during the six (6) months prior to the cause of action, OR
- $500.00 USD
EXCEPTIONS: Some states do not allow limitations on implied warranties or exclusion of certain damages. If these laws apply to you, some or all of the above limitations may not apply, and you may have additional rights.
24. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Ready Lockers, its subsidiaries, affiliates, officers, agents, partners, employees, and licensors from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any third-party rights
- Items you store in lockers
- Your negligence or misconduct
- Your failure to retrieve packages timely
- False information you provide
- Harm to other users connected via Services
We reserve the right, at your expense, to assume exclusive defense and control of any matter subject to indemnification. You agree to cooperate with our defense of such claims.
25. USER DATA
25.1 Data Management
We will maintain certain data you transmit to the Services for managing performance and your Service use.
